Terms of Service
Last updated: October 22, 2026
These Terms of Service ("Terms") are a binding agreement between you and Performdesk ("we", "us") for your use of Performdesk (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old (or the age of majority where you live) to use the Service. You are responsible for keeping your login details secure and for all activity under your account. If you use the Service on behalf of a business, you confirm you are authorized to accept these Terms for it.
2. Your content and contacts
You keep ownership of the contacts, messages, documents and other content you put into the Service ("Your Content"). You grant us a limited license to host, process and transmit it only to provide the Service to you. You are responsible for Your Content and for having every right, permission and lawful basis needed to store it and to contact the people in it.
3. Acceptable use of email
Performdesk sends email from your own mailbox and your own domain, so you are the sender and you are responsible for what is sent. You agree to:
- comply with the CAN-SPAM Act and every other law that applies to your messages and recipients (for example CASL in Canada, and GDPR and ePrivacy rules in Europe and the UK);
- include an accurate sender identity and a valid physical mailing address, and keep the unsubscribe link we add to your emails working, and never email a person who has opted out;
- not send unlawful, deceptive, harassing or malicious content, phishing, or content that infringes anyone's rights;
- not use purchased, scraped or harvested lists in a way the law or the source's terms forbid;
- not evade the sending limits or rules of your mailbox provider, and stay within the limits the Service applies;
- not disrupt, overload, scrape or reverse-engineer the Service, or access another customer's data.
We may pause sending, suspend or terminate accounts that generate spam complaints, repeated bounces or other abuse, or that violate these Terms or the law.
4. Third-party services and platforms
The Service works with services you connect or choose, including Microsoft, Google, your own mail server, LinkedIn, profile-lookup providers and AI providers. Your use of each is governed by that provider's own terms, and you are responsible for following them. In particular, LinkedIn's User Agreement restricts automated activity; Performdesk helps you prepare messages and open profiles, and you decide what to do on LinkedIn and are responsible for doing it within LinkedIn's rules. We are not responsible for a third party's availability, policies or decisions, including any limit, restriction or suspension a third party applies to your account.
5. Subscriptions, auto-renewal and billing
Core is free. Performdesk Core is free, with no payment required. Add-ons are paid. Optional add-ons are sold as monthly subscriptions at the price shown before you subscribe. Auto-renewal: a paid add-on renews automatically each month at the then-current price, charged to your payment method, until you cancel. How to cancel: cancel anytime online from the Billing tab; no call or email is needed. Cancellation takes effect at the end of the current billing period and you keep the add-on until then. Taxes: prices exclude applicable sales tax, VAT or similar taxes, which are added where required and shown at checkout. Payment processing: payments are handled by Stripe, PayPal or Square, whichever you choose, under their own terms. We never store your card details. Price changes: we will give you at least 30 days' notice of a price change, which applies from your next renewal, and you can cancel before it takes effect. Failed payments: if a renewal payment fails, the add-on may be paused until payment succeeds. Refunds: see our Refund & Cancellation Policy.
6. Documents you create
Performdesk can generate Statements of Work, invoices and similar documents from templates. These templates are provided for convenience and are not legal, tax or accounting advice. You are responsible for reviewing every document, for having it reviewed by your own advisers where appropriate, and for how you use it with your clients. Electronic signatures collected through the Service record a typed name, consent, time and technical details; they are not a certified e-signature platform.
7. Service availability and changes
We work to keep the Service available and secure but provide it "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. We do not guarantee that any email will be delivered, opened or answered, or that a message will send at an exact time. We may change or discontinue features with reasonable notice.
8. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 3 months before the claim or US$50. Some jurisdictions do not allow these limitations, so they may not apply to you.
9. Indemnity
You agree to indemnify and hold us harmless from claims arising from Your Content, the messages you send, your use of the Service, or your violation of these Terms, the law or anyone's rights.
10. Ending your account
You can stop using the Service and request deletion of your account at any time (see Data deletion). We may suspend or terminate accounts that violate these Terms or the law. Sections that by their nature should survive termination (such as payment obligations, liability limits and indemnity) survive.
11. Governing law and disputes
These Terms are governed by the laws of the jurisdiction where Performdesk is established, without regard to conflict-of-law rules, and the courts of that jurisdiction have jurisdiction over any dispute. Before filing a claim, you agree to first email support@performdesk.com and try to resolve the dispute informally for at least 30 days. Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived.
12. Changes to these Terms
We may update these Terms. If a change is material, we will notify you by email or in the app at least 15 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms.
